Luca Mining Corp. (“Luca” or the “Company”) (TSX-V: LUCA; OTCQX: LUCMF; Frankfurt: Z68)
On August X, 2024, the Company’s Control Person, Calu Opportunity Fund LP, (“Calu”) with an address at 1166 Alberni Street, Suite 1201 Vancouver, BC V6E 3Z3, acquired an aggregate of 165,000 common shares (“Common Shares”) of Luca. The Common Shares were acquired at a price of $.56 per Common Share for an aggregate purchase price of $92,400 and were acquired on the open market through the facilities of the TSXV.
Immediately prior to the acquisition, Calu directly and indirectly owned or controlled an aggregate of 34,483,525 Common Shares, representing 20.34% of the then issued and outstanding Common Shares and 9,546,557 share purchase warrants (the “Warrants”) entitling Calu to acquire an additional 9,546,557 Common Shares. Immediately following the acquisition, Calu directly and indirectly owns or controls an aggregate of 34,648,525 Common Shares representing 20.43% of the issued and outstanding Common Shares on an undiluted basis and 24.67% on a partially diluted basis (assuming the exercise of all Warrants held by Calu).
Calu does not have any specific current plan or future intention with respect to such securities and may or may not purchase or sell securities of the Company in the future on the open market or in private transactions in the ordinary course, depending on market conditions and other factors material to Calu’s investment decision.
